Our sick director had to resign. We have 7 months left on the term.....do we have to replace her or can someone send out get well cards until the next election. We have nothing in our bylaws about board members leaving

Dear Theresa,
It is always difficult when a member or an officer has to resign due to illness. I wish this person speedy recovery. However, you have a vacancy. If your bylaws do not say how to replace this director then you must have another election as soon as possible. It is important to have all your officers and directors to make important decisions.
