Our secretary resigned at a meeting we all voted and excepted it. Then our president also stepped down but not off the board. We had nominations for president and a vote. The secretary insists she vote and have her vote count. Is that possible?
Dear Kathleen,
You don't say that you filled the vacancy for the secretary. Is she present or not present? Is she a member of the board or not? If the office of secretary is vacant then there is no one in that office to vote. If the secretary is not a member of the board and the office is vacant then she cannot vote.
