We are incorporated not-for-profit 501(c)(10) We have a five member Board of Directors consisting of Chairman of the Board (immediate past president), current President, Corresponding Secretary, Treasurer and Elected Member of the Board. We have an Executive Committee consisting of President, VP, Rec. Sec., Corres. Sec, Treasurer, Historian and Mistress of Ceremonies. All positions are elected except for the Chairman of the Board. Can the Vice President serve as the Elected Member of the Board? Our by-laws are governed by Roberts Rules and we also have by-laws prohibiting Board or Executive members serving as Regional Officers but don't specifically prohibit serving two positions on the National level.

Let me see if I understand your structure. The Vice President is a member of the Executive Committee but not the Board of Directors. Since you have an elected member of the Board, you are wondering if the person elected to VP of the Executive Committee can also be an elected member of the Board. I just looked in Robert's Rules and it states that a person can serve in two offices simultaneous unless the bylaws prohibit a person from serving in both offices simultaneous. Be careful. There may be such language stated in a different way.
